1. Introductionβ
Welcome to the YuIA Affiliate Program. PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. By confirming your participation as an affiliate (for example, by responding affirmatively to the invitation email), you declare that you have read and agreed to these Affiliate Program Terms, as well as the Terms of Use and Privacy Policy of YuIA. If you do not agree, you must not participate in the Program.
This document constitutes a contract between you, the Affiliate (also referred to as "you"), and YuIA ("Company", "we"), governing rights, obligations, and commission conditions for promoting YuIA's services. By participating in the Program, the Affiliate acts independently, without any employment, corporate, or agency relationship with YuIA. Affiliates must be at least 18 years of age (or legally emancipated) to join the Program.
In the event of a conflict between these Terms and any informal communications, advertisements, or marketing materials used by the affiliate, the provisions of this document shall always prevail. No information, promise, or verbal interpretation may alter the conditions established herein without express written approval from YuIA.
2. Definitionsβ
- Affiliate: a natural or legal person approved by YuIA to promote its services.
- Self-referral: a purchase made by the affiliate themselves or by a person linked to them (family members, partners, or team members), in order to generate undue commissions.
- Referred customer: a natural person whose purchase was attributed to the affiliate through a valid link/code, in accordance with the attribution rules of this Program.
- New customer: someone who has never maintained an active paid subscription on YuIA or a former customer whose subscription has been cancelled/inactive for more than 6 (six) months until the new purchase.
- Requalification period: an interval of 6 (six) months counted from the effective cancellation of a previous subscription. Once this period has expired, the former customer is considered a new customer for acquisition commission purposes.
- Click: a user's access to the affiliate's trackable link via cookie or unique identifier ("last click").
- Commission: amount owed to the affiliate for valid sales/renewals.
- Attribution window: a period of 30 (thirty) days after the click, within which purchases made will be attributed to the affiliate who generated the last valid click.
- Sub-affiliate: an affiliate referred by another affiliate (two-level structure).
- Qualifying sales: a transaction confirmed by YuIA, not refunded or cancelled, and in compliance with these Terms.
3. Participation Rulesβ
3.1 Eligibilityβ
Participation is voluntary and open to natural or legal persons who meet the legal requirements (minimum age of 18 years and full legal capacity).
YuIA reserves the right to approve or reject any affiliate application, at its sole discretion and without the need for prior justification.
3.2 Acceptance/Agreementβ
Joining the Program occurs through invitation or approval by YuIA. By accepting the invitation or completing your registration as an affiliate, you fully agree to these Terms in their entirety. It is recommended to keep a copy of these Terms for reference.
Any updates will be communicated through the platform or by email, and continuing in the Program after changes constitutes acceptance of the revisions.
3.3 Registration Dataβ
Each affiliate will have a unique account or identification in the Program, through which they will receive their exclusive referral link or code.
The affiliate must provide truthful and up-to-date information, including:
- Full name or company name;
- CPF or CNPJ (Brazilian tax ID);
- Tax address;
- Banking information;
- Contact details (email, phone).
The affiliate must not create or maintain more than one account in the Program. Duplicate accounts linked to the same holder (same natural or legal person) may be cancelled, and any commissions associated with such accounts may be invalidated by YuIA.
YuIA may temporarily suspend commission payments if the affiliate's registration or banking data presents inconsistencies, until they are duly updated. The affiliate commits to keeping their data correct and up-to-date within a maximum of 7 days after any change.
3.4 Access Confidentialityβ
The affiliate is responsible for protecting their access credentials to the YuIA platform.
- Do not share your password or access with third parties.
- Any activity performed on your account will be presumed to be your responsibility.
- If you suspect unauthorized use, the affiliate must notify YuIA immediately.
YuIA reserves the right to audit access logs, click records, and tracking data of the affiliate's account whenever there is suspicion of misuse, attempted fraud, or security breach, within legal limits and in compliance with the General Data Protection Law (LGPD).
3.5 Prohibited Referral Practicesβ
The affiliate may not:
- Engage in self-referral (purchasing YuIA products or services using their own link);
- Offer cashback, gifts, sweepstakes, or parallel rewards without prior written authorization from YuIA;
- Manipulate cookies, generate automated clicks, or use systems that force fake visits to their link.
Violation of any of these points constitutes just cause for immediate account termination and cancellation of all pending commissions.
3.6 Independence and Good Faithβ
The relationship between the affiliate and YuIA is independent and non-exclusive, based on good faith and collaboration.
The affiliate must:
- Promote YuIA's products and services with transparency and ethics;
- Fully comply with these Terms and applicable legislation;
- Not present themselves as an employee, legal representative, or agent of YuIA.
Participation in the Program does not create an employment relationship, partnership, joint venture, agency, or franchise: the affiliate acts in their own name and at their own risk, and may not present themselves as an employee, legal representative, or agent of YuIA under any circumstances.
4. Commissions and Rewardsβ
YuIA affiliates will receive financial commissions for qualified sales and referrals according to the terms below. All commissions are denominated in Brazilian Reais (R$). YuIA may adjust commission values and rules upon prior notice to affiliates.
4.1 Commission for First Sale of a Referred Customerβ
For each new customer you refer who makes their first purchase of a paid YuIA subscription plan, you will receive a one-time commission. The commission value varies according to the plan purchased by the customer:
- Lite Plan: R$ 20.00
- Plus Plan: R$ 40.00
- Pro Plan: R$ 80.00
This commission is owed once per customer, on the first purchase made through your affiliate link.
The following are eligible to generate the acquisition commission:
- Customer who has never subscribed to a paid YuIA subscription plan; or
- Former customer who cancelled their subscription and remained more than 6 (six) months without an active plan. If this customer subscribes again after this period and the purchase is attributed to your affiliate link or code, you will receive the acquisition commission.
The 6-month period is counted from the effective cancellation date of the previous subscription to the date of the new purchase. Returns before completing this period do not generate a new acquisition commission.
4.2 Monthly Renewal Commission (2nd to 12th month)β
In addition to the first sale, you will receive a recurring monthly commission for each subsequent monthly renewal of the referred customer's subscription, from the second month to the twelfth month of subscription (inclusive). The value varies according to the plan:
- Lite Plan: R$ 5.00 per month
- Plus Plan: R$ 10.00 per month
- Pro Plan: R$ 20.00 per month
That is, if the subscription remains active and uninterrupted, the affiliate can earn up to 11 monthly installments after the first sale.
- The Renewal commission requires continuous subscription; months with interruption and reactivation do not generate commission.
- There is no commission for renewals or customer payments after the 12th month.
- There is no pro-rata for partial months.
4.3 Sub-Affiliate Referral Commissionβ
The YuIA Affiliate Program has a two-level structure. This means that if you refer new affiliates to the Program (becoming your "indirect affiliates" or sub-affiliates), you will be entitled to R$ 10.00 for each new customer that each of your sub-affiliates brings to YuIA. This commission is a one-time amount per customer, credited only on the first purchase made by the customer through the sub-affiliate.
The sub-referral bonus is an additional incentive paid by YuIA to the affiliate who referred the sub-affiliate, without impacting the commissions they already receive according to current rules.
4.4 Sales Attribution and Cookiesβ
YuIA uses a "last click" model within a 30 (thirty) day window. This means that if a user clicks on more than one affiliate link, the commission will be attributed to the last valid link clicked within the 30 days preceding the purchase.
If the user clears cookies, uses a different device, or the purchase occurs after the 30-day period without a new valid click, the sale will not be attributed.
4.5 Refunds and Cancellations ("Clawback")β
Commissions may be reversed (deducted from future cycles) if the customer:
- Requests a refund;
- Has the payment reversed by the payment method;
- Is identified as fraud, misuse, or duplicate registration;
- Has violated YuIA's Terms of Use.
YuIA reserves the right to offset undue amounts in subsequent payment cycles of the same affiliate, with prior notice.
4.6 Qualifying Sales for Commissionβ
Only qualifying sales will be eligible for commission payment, according to the criteria below:
- Confirmed payment: YuIA must receive full payment confirmation from the customer, with no pending issues, chargebacks, or open disputes.
- Valid attribution: the purchase must have been correctly tracked through the affiliate's exclusive link or code, within the 30 (thirty) day attribution window as described in section 4.4.
- Valid referred customer: the sale must be associated with a referred customer, as defined in the definitions and rules of this Program.
- Active and non-cancelled plan: the customer's subscription must remain active for at least one 1-month cycle after payment. Cancellations or refunds within this period invalidate the commission.
- Contractual compliance: the sale must have been obtained through ethical and legitimate means, in compliance with the Code of Conduct and Compliance Rules. Sales obtained through spam, fraud, self-promotion (self-referral), or misleading promises are not qualifying.
- No duplicates: if two or more referrals are registered for the same customer, the last valid click within the attribution period will prevail. Purchases without tracking correspondence or originating outside the attribution window do not generate commission.
- Qualified reactivation: former customers who return after more than 6 (six) months of inactivity may generate a new acquisition commission, provided the purchase is valid and attributed to the affiliate.
YuIA reserves the right to review any sale to confirm its authenticity and compliance. Sales identified as fraudulent, suspicious, or obtained in violation of these Terms may have their commissions suspended, cancelled, or reversed at any time.
Any changes in commission percentages or values will be communicated to affiliates with adequate advance notice (by email and/or affiliate dashboard), and will only apply to new referrals after the effective date of the changes.
5. Sub-Affiliate Policy (2 Levels)β
YuIA allows affiliates to refer new members to the Affiliate Program, thus forming a sub-affiliate relationship (also called "2nd level affiliates"). The sub-affiliate policy works as follows:

Affiliate Referral: If you know someone who wants to become a YuIA affiliate, you can refer them to the Program through an invitation link or code provided by the platform (or another method that may be made available). The referred candidate must complete their registration indicating the reference of the inviting affiliate, subject to the normal approval process.

Sub-Affiliate Link: Once approved, the new affiliate will be linked as your sub-affiliate (first level). This link is personal and non-transferable β meaning the sub-affiliate will remain associated only with their direct sponsor. There is no multi-level structure beyond this (YuIA does not operate a pyramid multi-level marketing system). Therefore, sub-affiliates cannot themselves refer new affiliates for the benefit of a third program level.

Sub-Referral Compensation: As described in the Commissions and Rewards rules, for each new customer acquired through your direct sub-affiliates, you (sponsoring affiliate) earn R$ 10.00 (one-time amount). This sub-referral commission will be credited together with other monthly commissions, after confirmation of the initial sale made by the sub-affiliate and after the validation cycle has elapsed (see Section 6.1/6.2).

Sub-Affiliate Rules and Conduct: Sub-affiliates are subject to the same Terms established here. Each affiliate β whether direct or sub β is individually responsible for their actions and for complying with these terms. Your role as a sponsor is solely to refer new affiliates; there is no automatic joint liability for any infractions your sub-affiliates may commit. However, if YuIA identifies that you, as a sponsor, are complicit in irregular practices by your sub-affiliates, your account may also be evaluated and suspended.
We emphasize that any undue bonus or one obtained in violation of the rules will result in corrective measures by YuIA, including non-payment of that commission and possible sanctions for those involved.
6. Payments and Withdrawalsβ
This section describes how and when commissions are paid to the affiliate, as well as the criteria for withdrawing accumulated amounts.
6.1 Commission Validationβ
Commissions generated by affiliate sales and referrals go through a validation period of 45 days counted from the payment confirmation by the customer. Only commissions whose customers remain active for at least 1 (one) monthly cycle after purchase, without cancellation or chargeback, will be eligible for payment.
For the purposes of these Terms, a commission is considered validated when it simultaneously:
- has completed D+45 counted from the customer's payment confirmation; and
- whose customer's plan has remained active for at least 1 (one) monthly cycle after purchase.
6.2 Payment Cycleβ
The commission calculation cycle is monthly. At the end of each month, YuIA consolidates all validated commissions for the period. Once validated, the commission will be paid the following month, by the 5th business day.
- Monthly cutoff: commissions that become validated by the last day of the month enter payment in the following month (by the 5th business day).
- Commissions not yet validated by the month-end closing will be paid in the subsequent cycle, after completing the 45 days.
- Payment also observes the minimum withdrawal amount provided in Section 6.3.
Practical examples:
- The customer paid on January 1st β the commission becomes validated around February 15th (D+45) β will be paid by the 5th business day of March.
- The customer paid on January 25th β the commission becomes validated around March 11th (D+45) β will be paid by the 5th business day of April.
The commission is only eligible for withdrawal after D+45 (45 calendar days) from the customer's payment confirmation.
6.3 Minimum Withdrawal Amountβ
The minimum amount to request a withdrawal or for automatic commission payment is R$ 100.00 (one hundred reais) accumulated. If the affiliate does not reach this minimum amount in a given monthly cycle, the balance will remain accumulated and will be carried over to subsequent cycles until the minimum is reached. YuIA may, at its discretion, make payments in smaller amounts in exceptional cases of account closure or program termination, but the general rule is to respect the minimum limit of R$ 100.
6.4 Payment Methodβ
Payments will preferably be made via PIX (instant bank transfer) to the PIX key indicated by the affiliate, or via bank transfer (TED) to the bank account provided. The affiliate must provide valid and up-to-date banking details or PIX key through the affiliate dashboard or when requested.
For security and compliance reasons, payment will only be made to accounts owned by the affiliate themselves. Payments to third parties are not permitted β for example, it is not allowed to register another person's bank account to receive your commissions. Payments to accounts in the affiliate's name that are outside the country are also not permitted (unless expressly instructed by YuIA and in compliance with foreign exchange regulations).
YuIA reserves the right to request proof of account or PIX key ownership before making payments.
6.5 Taxes and Invoicesβ
The affiliate's compensation is considered income for which they are solely responsible before tax authorities. Commission amounts are gross, with YuIA not withholding any taxes at source. Thus, it is the exclusive responsibility of the affiliate to calculate and collect any taxes due on the amounts received (for example, Income Tax, ISS, social security contributions, etc., as applicable for individuals or legal entities). However, when there is a legal requirement or court order, YuIA may withhold mandatory amounts (e.g., IRRF, ISS), informing the affiliate.
YuIA may, in certain situations, request that the affiliate issue an invoice or freelancer payment receipt (RPA) to process the payment β especially if the affiliate is a legal entity or a freelance professional.
If requested, the affiliate must promptly provide the tax documents or registration information (for example, copy of identity document, CPF/CNPJ, proof of address, etc.) necessary to enable payment and comply with KYC ("Know Your Customer") procedures. Failure to present required documents within the requested timeframe may result in payment postponement until regularization or, in the event of prolonged non-compliance, cancellation of affected commissions (which may expire if pending for more than 90 days due to pending documentation, at YuIA's discretion).
YuIA may withhold mandatory legal amounts (e.g., IRRF or ISS), as required by tax law or court order. Failure to submit requested tax documents within 90 (ninety) days may result in the definitive cancellation of the commission pending payment.
6.6 Costs and Chargesβ
YuIA does not charge any fee for commission payments. However, any bank fees or charges levied by the affiliate's bank or financial intermediaries (for example, TED fees or currency conversion, if applicable) will be the affiliate's responsibility. Bank fee amounts, if any, will be deducted from the transferred amount.
6.7 Payment Disputesβ
The affiliate is responsible for monitoring approved and paid commissions through the dashboard. If they identify a commission amount they believe is eligible and has not been paid within the expected timeframe, they must notify YuIA within 30 days after the payment is overdue for the situation to be investigated. Failure to file a complaint within this period may be interpreted as a waiver of any differences. In the event of a proven discrepancy, YuIA will make the appropriate payment adjustments in the following cycle.
A "delay" is only considered when the commission, already validated, has not been paid by the 5th business day of the month following its validation.
7. Code of Conduct and Complianceβ
YuIA affiliates must observe high ethical standards and comply with all applicable laws when promoting our services. The following rules of conduct must be strictly observed, under penalty of sanctions and even disqualification from the Program:
7.1 Prohibition of SPAM and Abusive Promotionβ
The affiliate is prohibited from adopting promotional practices that are illegal, inappropriate, or that could tarnish YuIA's image. This includes, but is not limited to: sending unsolicited mass messages (SPAM) via email, SMS, WhatsApp, or other means; repetitive automated posts on forums, blogs, social media, or comments; using bots or scripts to distribute links; or any "flooding" tactic (content deluge) that is unwelcome to the target audience. Misleading or out-of-context promotion is also prohibited β for example, posting the affiliate link in groups or sites unrelated to the topic, in a way that confuses or irritates users. The affiliate must always obtain the recipient's consent before sending marketing communications, in compliance with the General Data Protection Law (LGPD) and other applicable anti-spam regulations.
7.2 Appropriate Content and Ethicsβ
All promotions must preserve YuIA's reputation and observe decorum and legality. It is prohibited to disseminate offensive, defamatory, obscene, discriminatory, hateful, violent content, or content that violates third-party rights. The affiliate must not make false claims, misleading promises, or unrealistic guarantees about YuIA's services just to attract buyers. For example, one cannot promise guaranteed financial results or "easy wealth" from using the platform, nor claim benefits that YuIA does not actually offer. Information provided to the public about YuIA (product features, prices, promotional conditions, etc.) must be truthful and consistent with the official content provided by the Company. If YuIA provides standardized materials or messages for promotion, the affiliate must adhere to them or, if creating their own content, do so responsibly, maintaining a professional tone consistent with the brand.
The affiliate must also ensure advertising transparency, clearly indicating that it is an affiliate link or content when applicable, in accordance with best practices of CONAR and the Consumer Protection Code regulations. The use of hashtags such as #affiliate, #ad, or equivalents in posts and videos is recommended.
7.3 Paid Traffic (Online Advertising)β
The affiliate is allowed to invest in paid ads (for example, Google Ads, Facebook/Instagram Ads, etc.) to promote their affiliate links, provided such campaigns are conducted ethically and in compliance with the advertising policies of the platforms involved and with these rules. The affiliate may not create ads that imitate or impersonate official YuIA communications, nor that lead the user to believe it is an official Company advertisement. Additionally, it is not permitted to abusively use the "YuIA" brand in ads β for example, the affiliate must not purchase keywords that include the YuIA brand or misspelling variations, with the intent of displaying their ads when users search directly for YuIA. They also must not use the YuIA name or logo within the text or title of paid ads without prior authorization. This restriction aims to avoid unfair competition with YuIA's official channels and prevent affiliate ads from raising advertising costs or causing customer confusion. The Affiliate must also not compete with or interfere with direct marketing campaigns conducted by YuIA itself β for example, advertising non-existent discounts or attempting to redirect traffic already interested in the brand. If opting for paid traffic, the affiliate should negative protected keywords, if applicable, and focus on reaching audiences or terms related to product benefits in a lawful manner (e.g., "artificial intelligence tool for businesses") without violating trademark rights.
The affiliate may not register ads, domains, or URLs containing the word "YuIA", variations, or intentional misspellings (e.g., "YuiA", "YuiaOficial"), nor purchase such terms as keywords on paid media platforms (Google, Meta, TikTok, etc.). The use of cloaking, automatic redirection, or any practice that conceals the real origin of traffic is also prohibited.
7.4 Proper Use of Brand and Intellectual Propertyβ
When promoting YuIA, the affiliate may use authorized brand materials (such as logos, banners, official slogans) provided by the Company for promotional purposes, but always respecting the visual identity and official guidelines. It is expressly prohibited to edit, distort, or modify YuIA's logos, symbols, colors, or any intellectual property elements. Likewise, the affiliate must not use the YuIA brand in a derogatory, offensive manner, or in a way that could damage the Company's image. It is also not permitted to associate the YuIA brand with other brands without authorization β for example, placing the YuIA logo side by side with another company's logo in graphic materials suggesting an unapproved partnership, nor including YuIA as part of packages or joint offers with third parties except with express consent.
7.5 Identity and Presentationβ
The affiliate must always properly identify themselves on their channels. When sharing links, it is recommended to clarify that it is an affiliate link or referral, when the context requires transparency (following best practices and any legal advertising requirements). The affiliate is prohibited from pretending to be YuIA itself or its official representative. That is, do not create pages, profiles, or websites impersonating YuIA. For example, do not use "YuIA" in domain names or social media profiles in a way that appears to be an official company channel β such as "YuIA_deals.com" or "YuIA Brasil Official" β as this constitutes improper use of the brand and may confuse users. You may not describe yourself as a "YuIA agent", "YuIA team", or any title that suggests an employment or representation relationship that you do not have. The relationship between the parties is commercial, as an affiliate-promoter, and must be clear to the public. Example: In a promotional video or article, the affiliate can say "Discover the YuIA platform, of which I am an affiliate and recommend for the following reasons...", but cannot say "We at YuIA are launching product X", since the affiliate is not formally part of the company.
7.6 Prohibition of Fraud and Illegal Activitiesβ
Any form of fraud, cheating, or illegal activity by the affiliate will result in immediate disqualification. The following actions are strictly prohibited: generating fake registrations or purchases, using bots or fictitious identities to simulate customers; making self-purchases using your own affiliate link (self-referral); circumventing tracking systems (for example, via cookie stuffing or URL manipulation); offering third parties incentives not authorized by YuIA (such as unapproved cashback, sweepstakes, or parallel bonuses for those who use your link); or any other means aimed at obtaining commissions improperly. The affiliate must also not violate consumer protection or intellectual property laws β for example, improperly copying content from YuIA's website or third-party copyrighted content for use in their promotions. No affiliate may promise or provide guarantees on behalf of YuIA beyond what the company officially offers. Upon detection of any fraudulent or illegal conduct, YuIA may, at its discretion, suspend or terminate the infringing affiliate's account, cancel any pending commissions, and take appropriate legal measures.
7.7 Compliance with Lawsβ
The affiliate commits to complying with all applicable legislation in their promotional activities, including, without limitation: Consumer Protection Code (when advertising, consumer rights must be respected and misleading or abusive advertising must be avoided), Intellectual Property Laws (not violating trademarks, patents, third-party copyrights), Data Protection Laws (respecting LGPD when using user data), regulations from bodies such as CONAR (National Council for Advertising Self-Regulation) regarding advertising, and other relevant regulations. The affiliate acknowledges that they are solely responsible for their promotional channels and content produced, holding YuIA harmless from any liability for such content before third parties.
The affiliate is expected to demonstrate integrity, transparency, and professionalism when independently promoting the brand. YuIA reserves the right to monitor, albeit not systematically, affiliate actions and send notifications or warnings in case of behaviors it deems inappropriate. Failure to comply with a warning or recurrence of prohibited practices may lead to the application of penalties as described below.
8. Use of the YuIA Brand and Materialsβ
YuIA grants affiliates, during the period of participation in the Program, a limited, non-exclusive, and revocable license to use its trademarks, trade name, logos, and official promotional materials, solely for the purpose of promoting the platform's services within the terms of this Program. This license is conditional on strict compliance with the following guidelines:
8.1 Visual Identity Guidelinesβ
The affiliate must respect YuIA's visual identity in any use of brand logos or graphics. Do not alter colors, proportions, font, or design of the provided logos. Do not apply effects, shadows, stretching, or edits that distort the original appearance. Also do not insert the YuIA logo within other logos or creations that blend the brand with third-party symbols without authorization. In short, the YuIA logo must appear intact and faithful to the original file provided.
8.2 Material Qualityβ
Only use official logo and image files obtained through YuIA's channels (official website, affiliate kit, etc.) to ensure good resolution and currency. Avoid using old, outdated logos or searching for brand images via internet search, which may be incorrect. If you need a specific format or dimension, contact affiliate support.
8.3 Proper Use and Contextβ
The YuIA brand may only be used in content related to promoting YuIA itself. It is prohibited to use brand elements in a derogatory, offensive context, or one that harms the company's reputation. Do not display the YuIA logo or name on websites or materials containing illegal or unethical content (for example, sites promoting violence, discrimination, pornography, illegal gambling, etc.). YuIA may, at any time, request that an affiliate remove the brand from certain content or location it deems inappropriate or outside the permitted scope.
8.4 Combination with Other Brandsβ
Unless previously agreed upon in writing, the affiliate may not place the YuIA logo or name alongside third-party brands in a way that suggests any non-existent partnership, co-branding, or mutual endorsement. For example, do not insert the YuIA logo in promotional materials of another company as if it were a "sponsor", nor say phrases like "YuIA recommends [OtherBrand]" or vice versa, without authorization. If the affiliate manages a comparative or review website, they may mention YuIA within an informative context, but always neutrally and without implying undue association.
8.5 Domain Names and Profilesβ
As mentioned in the Conduct section, the affiliate must not register internet domains containing the word "YuIA" (or very similar variations) with the intent of impersonating the company or exploiting the brand. For example, creating a website yuia-discounts.com or an Instagram profile @Yuia_Official on your own are prohibited practices. If the affiliate wishes to create a blog or profile focused on YuIA content, they should use names that make it clear it is an independent initiative β e.g., "YuIATipsWithJohn" or "AIforBusiness" β avoiding exclusive use of the brand in the name. YuIA reserves the right to demand the transfer or removal of any domain, page, or profile created by an affiliate (or third parties) that violates this guideline, without prejudice to applicable legal measures in defense of its intellectual property.
8.6 Official Promotional Materialsβ
Whenever possible, use the materials provided by YuIA for promotion (banners, demo videos, infographics, etc.), as they already follow brand guidelines. These materials may be available in the affiliate dashboard or sent by email periodically. If you produce your own material (such as posts, videos, articles), be careful not to alter technical information or product promises. If you have questions about proper brand use or want to review a material, contact the YuIA team.
8.7 License Terminationβ
The permission to use the brand granted to the affiliate is valid only during their active participation in the Affiliate Program. In the event of departure, account closure, or Program termination, the affiliate must immediately cease all use of YuIA's trademarks, names, and materials, removing them from their channels within a maximum of 5 business days (or as per specific company instructions). Continued use of the brand after disassociation constitutes a violation of intellectual property rights and may result in legal action.
We value our brand and expect the affiliate to use it with respect and professionalism, maintaining the visual presentation and reputation we have built. Any improper use of the brand, in addition to violating these Terms, may also infringe intellectual property laws, subjecting the responsible party to penalties provided by law.
9. Termination, Inactivity and Modificationsβ
This section explains the circumstances under which the affiliate's participation in the Program may be terminated, whether by YuIA's decision or the affiliate's own decision, including specific rules about inactivity and contractual consequences.
9.1 Term of Validityβ
These Terms take effect from the moment the affiliate confirms their membership (registration and acceptance) and remain in force for an indefinite period while the affiliate is part of the Program. Both the affiliate and YuIA may decide, at any time, to terminate the affiliate relationship, as described below. No minimum loyalty is required from the affiliate β they may leave whenever they wish, just as the Program may be discontinued or modified by the company.
9.2 Voluntary Termination by the Affiliateβ
The affiliate may, at their discretion, request withdrawal from the Program at any time by contacting YuIA (preferably in writing, via affiliate support email or a tool available in the dashboard). Upon receiving such request, YuIA will process the cancellation of the affiliate account within a certain period (usually 5 business days). It is recommended that the affiliate redeem any owed commissions before requesting withdrawal, if they have already reached the minimum withdrawal amount, or negotiate with YuIA regarding payment of any pending balance below the minimum. Once withdrawn, the affiliate must cease using referral links and brand materials as mentioned. Should they wish to return in the future, a new invitation or approval may be required.
9.3 Termination by YuIA (Without Cause)β
YuIA reserves the right to terminate any affiliate's access to the Program, at any time, for any legitimate reason or even without stating a reason, upon simple notification. This means that participation in the Program is a privilege offered by the platform, not a lifetime acquired right. Common reasons for termination without the affiliate's fault may include: discontinuation or restructuring of the Affiliate Program; strategic company decision; or low compatibility of the affiliate's profile with YuIA's target audience, etc. In such cases, YuIA will seek to communicate with the affiliate with reasonable advance notice. The affiliate will be entitled to receive valid commissions accumulated until the termination date (even if below the R$ 100 minimum, at YuIA's discretion), provided such commissions are duly validated and in compliance with the Terms.
9.4 Termination for Causeβ
If the affiliate breaches these Terms, the platform policies, or any applicable law/regulation, YuIA may terminate their participation immediately, without prior notice, considering the contract terminated for cause. In this case, the affiliate will immediately lose the right to any unpaid commissions they have accumulated, without prejudice to other applicable measures. Examples of serious violations include, but are not limited to: abusive spam, referral fraud, improper brand use, dissemination of illegal content, offense to the company's reputation, or recurrence of prohibited conduct after a warning. YuIA will send a termination notification informing (when possible) the nature of the detected violation. Once the account is terminated for violation, the affiliate will not be entitled to re-entry into the Program and may be blocked from new registrations.
Serious violations include, without limitation:
- Engaging in brand bidding (purchasing paid ads using the YuIA brand or variations);
- Cookie manipulation or use of cookie stuffing techniques;
- Deceptive redirects (cloaking);
- Falsification of registrations, sales, or leads;
- Disclosure of confidential internal information.
Detection of any of these practices may result in immediate contract termination and permanent ban of the affiliate.
9.5 Inactivity Policyβ
YuIA wishes to maintain engaged and active affiliates in its Program. Therefore, we establish inactivity criteria that may lead to voluntary cancellation of inactive accounts:

If an affiliate goes more than 2 consecutive months without making any sale or referral converted into a sale, YuIA may discontinue special benefits granted to them, such as, for example, a free subscription to a paid plan (if provided to the affiliate as a courtesy). In other words, accounts without sales for 2 months will have their free access to the paid plan cancelled, with the affiliate remaining in the Program, but without this additional benefit.

If the affiliate goes more than 1 month without any proven promotional activity β that is, if there is no record of clicks on their links, no perceptible public promotion, or interaction with the affiliate team β YuIA may, at its discretion, terminate that affiliate's account due to inactivity. Before doing so, the company may send a notice inquiring about interest in remaining in the Program. If there is no response or justification, and inactivity continues, the termination may proceed. This measure aims to keep the Program lean and focused on those who are actively promoting the platform.
Inactivity is not viewed as a contractual violation, but rather as disinterest. Therefore, in the case of termination due to inactivity, the affiliate may normally withdraw any remaining approved commissions (YuIA will provide instructions regarding the procedure in this case). Should they wish to become an affiliate again in the future, they may contact us for evaluation of a new invitation.
9.6 Consequences of Terminationβ
Once participation is terminated (for any reason), the affiliate must immediately cease using YuIA's materials, links, and brand, as already highlighted in the Brand Use section. Affiliate links may stop working or redirect to the main page without commission attribution. The affiliate will not be entitled to commissions for sales occurring after the effective date of departure. In the event of termination of the Affiliate Program itself (total extinction), YuIA will notify all affiliates in advance and arrange payment of the last commissions owed until the termination date, then closing all accounts.
9.7 Program Modification or Suspensionβ
YuIA may modify, suspend, or permanently terminate the Affiliate Program, in whole or in part, at any time. Significant changes to these Terms or Program rules will be communicated through a notice on the platform and/or email to affiliates, highlighting the changes. The affiliate's continuity in the Program after the date of changes constitutes acceptance of the new conditions. If they disagree, the affiliate may request their withdrawal, as already provided. In situations of temporary suspension (for example, a pause for restructuring), affiliates will be informed of deadlines and conditions, and their accounts may be reactivated later according to YuIA's instructions.
9.8 Reactivationβ
If an affiliate has their account terminated due to inactivity or voluntary decision (by either the affiliate or YuIA without cause) and wishes to return, they may contact YuIA support. A new registration may be analyzed, but it is not guaranteed β it will be subject to the policies in effect at the time. In cases of violation or fraud, reactivations will not be permitted.
In all termination situations, YuIA values transparency and fairness in the treatment of affiliates, honoring commissions owed whenever the reason for departure does not imply a penalty.
We remind you that this affiliate contract does not create acquired rights of permanence; the company may, within the limits of these Terms, terminate partnerships to protect its business or community.
10. Final Legal Provisionsβ
This section presents general legal conditions that complement and tie together the points of the affiliate contract, ensuring the protection of both the affiliate and the company.
10.1 Relationship of the Partiesβ
As already mentioned, participation in the Affiliate Program does not create any employment, corporate, agency, commercial representation, or franchise relationship between the affiliate and YuIA. The affiliate operates on their own, promoting the platform in exchange for commission compensation, without the power to bind or obligate YuIA before third parties. These Terms do not establish exclusivity β the affiliate may freely promote other third-party products/services (provided they are not direct competitors of YuIA, if this would compromise their promotional loyalty), and YuIA may maintain affiliate programs with multiple participants simultaneously. The affiliate is responsible for their means of operation (e.g., equipment, internet, advertising expenses) and has no labor or social security rights in relation to YuIA, as there is no subordination, habitual obligation, or the personal nature typical of an employment relationship.
10.2 Indemnificationβ
The affiliate agrees to indemnify, defend, and hold harmless YuIA, as well as its directors, employees, agents, partners, and affiliates, from and against any and all losses, damages, liabilities, costs, or expenses (including attorney's fees) resulting from any claim, demand, action, or proceeding brought by third parties as a result of any act or omission by the affiliate that constitutes a breach of these Terms, violation of law, or infringement of third-party rights. In other words, if the affiliate causes harm to others (for example, by sending spam in violation of the law, or publishing unauthorized content) and YuIA is sued for it, the affiliate must hold the company harmless and bear any costs or judgments. This indemnification obligation persists even after the termination of the affiliate contract.
10.3 Limitation of Company Liabilityβ
YuIA does not offer guarantees of financial results or minimum performance to the affiliate. The risk of the activity lies with the affiliate β commissions will depend on their effort and market conditions. YuIA will not be liable for lost profits, indirect, or special damages that the affiliate may claim, related to the Program. Furthermore, YuIA is not responsible for any technical instabilities of the affiliate platform, temporary tracking system interruptions, third-party failures (such as unavailability of payment services, banks, etc.), provided it takes reasonable measures to correct problems as soon as possible. In no event shall YuIA's total liability to the affiliate, for any claims related to this Program, exceed the total value of commissions owed to the affiliate in the 2-month period preceding the event giving rise to the potential liability.
10.4 Changes to the Termsβ
YuIA may amend these Terms and the Affiliate Program rules at any time, upon communication to affiliates through the usual channels. Significant changes will be highlighted, as explained in the Termination section. It is recommended that the affiliate periodically check for updates. If any modification is unacceptable, the affiliate must terminate their participation. Continuing in the Program after changes take effect will be considered tacit agreement to the new conditions.
Substantial changes to these Terms will be communicated with a minimum advance notice of 7 (seven) days, except in cases of legal urgency, platform security, or fraud prevention, when the change may take immediate effect.
10.5 Assignment and Transferβ
This affiliate contract is personalized for the approved affiliate, and assignment or transfer of this position to third parties is prohibited without prior express consent from YuIA. This means you cannot "sell" or "transfer" your affiliate account or commission rights to another person or company. Any attempt to do so will be null and void. YuIA, in turn, may assign the rights and obligations of this contract to any legal successors, controllers, or acquirers of the company, upon simple notice to the affiliate (for example, in the event of a merger or acquisition of the company operating YuIA).
10.6 Severability of Clausesβ
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court decision or competent authority, the remaining provisions shall remain in full force and effect, unaffected. The parties will negotiate in good faith a substitute clause that achieves, to the maximum extent possible, the objectives of the invalid provision, in a lawful manner.
10.7 Waiver of Rightsβ
Any failure or tolerance by YuIA to require strict compliance with any clause of these Terms, or to exercise any right arising from the contract, shall not constitute a waiver or pardon, and the party may exercise its rights at any time. Likewise, any specific waiver, to be valid, must be made in writing. Waiver of one right or clause does not imply waiver of others.
10.8 Communicationsβ
Official communications from YuIA to affiliates will preferably occur via email (using the address registered by the affiliate) or through notices on the affiliate dashboard within the platform. It is the affiliate's responsibility to keep their contact information up-to-date and regularly check their message boxes and the affiliate area. For questions, complaints, or any matter related to this Program, the affiliate may contact YuIA through the support email or other channels provided.
YuIA will make its best efforts to respond to requests in a timely manner.
10.9 Governing Law and Jurisdictionβ
These Affiliate Program Terms are governed by the laws of the Federative Republic of Brazil. Any controversy or dispute that is not amicably resolved between the parties, related to this contract or participation in the Program, shall be settled in the courts of the city of Belo Horizonte, State of Minas Gerais, with express waiver of any other jurisdiction, however privileged it may be. This choice of jurisdiction does not prevent YuIA, if desired, from seeking relief in a different jurisdiction for specific measures.
10.10 Confidentialityβ
The affiliate commits to maintaining confidentiality regarding any confidential information of YuIA to which they may have access due to their participation in the Affiliate Program. Confidential information includes all non-public data, documents, materials, or knowledge related to YuIA or its services, including (but not limited to) business plans, marketing strategies, customer lists, financial information, trade secrets, source code, unreleased features, as well as any information expressly designated as confidential or which, by the nature of the information, should be treated as such. The affiliate may not disclose, pass on to third parties, or improperly use any confidential information obtained, whether during their participation in the Program or even after their departure, committing to use it exclusively for the purposes provided in this contract. The confidentiality obligation does not apply to information that was demonstrably already known to the affiliate lawfully before disclosure by YuIA, that becomes public without breach by the affiliate, or that is required by law or court order (in which case the affiliate must notify YuIA before compulsory disclosure). All confidential information remains the exclusive property of YuIA. Upon termination of the affiliate relationship or whenever requested by YuIA, the affiliate must return or delete all confidential material in their possession. This confidentiality obligation shall remain in force for an indefinite period, surviving the termination of the affiliate's participation in the Program, for the maximum period permitted by law.
10.11 Final Provisionsβ
These Terms constitute the entire agreement between the affiliate and YuIA regarding the Affiliate Program, superseding any prior understandings or agreements (if any) on the subject. Participation in the Program implies full acceptance of all clauses set forth herein. If the affiliate disagrees with any condition in the future, they must discontinue their promotional activities and notify YuIA for withdrawal; it is not permissible to continue in the Program in disagreement with the rules. Confidentiality, indemnification, liability limitations, and other obligations that, by their nature, should endure after contract termination, shall remain in force even after the termination of the affiliate's participation.
